The Services are not a substitute for a will, trust, succession plan, legal advice, tax advice, medical advice, insurance advice, financial advice or any government process.
4. No Legal, Financial, Tax or Ownership Advice
Any reminder, checklist, template, note, response, call, AI-generated output or support message provided by the Platform is for general guidance only and must not be treated as legal, financial, tax, insurance, estate-planning, medical or professional advice.
We do not certify, verify, confirm or guarantee title, ownership, beneficial interest, succession entitlement, nominee validity or the correctness of any legal interpretation based on information entered on the Platform.
You must obtain independent professional advice before relying on any information on the Platform for any legal, financial, tax, insurance, succession, nomination or dispute-related decision.
5. Account Registration, Consent and User Responsibilities
You must provide true, complete, current and accurate information at all times. You are solely responsible for the accuracy, completeness, lawfulness and timeliness of the information you submit, including but not limited to asset details, nominee details, emergency contacts, communication preferences, bank details, policy details, family details and document uploads.
By registering, uploading data, selecting preferences, enabling alerts, authorising a call, clicking an acceptance button or using any feature of the Platform, you expressly consent to the acts described in these Terms and the Privacy Policy to the extent permitted by Applicable Law.
You are solely responsible for maintaining the confidentiality of login credentials, OTPs, passwords, passcodes, devices and any authentication methods used on the Platform.
You must immediately notify us of any suspected unauthorised access, compromise, fraud, impersonation, data breach or misuse.
You agree to review your Vault, nominee mappings, communication preferences and contact details periodically and to correct errors promptly.
If you or your authorised representative provide valid consent and complete the required onboarding details, we will begin the applicable account setup, verification or service process immediately. Depending on the information required, operational queue and verification steps, the process may take up to 7 days or such other reasonable period as may be needed to complete onboarding or enable the relevant feature.
6. User Data, Consent, Purpose Limitation and DPDP Compliance
We process personal data only for specified, explicit and lawful purposes connected with the Services, including but not limited to account creation, onboarding, identity checks, nominee configuration, asset mapping, legacy support, alerts, customer support, fraud detection, security, audit, compliance, analytics, product improvement and dispute resolution.
We shall collect, use, store, disclose, transfer and otherwise process personal data only to the extent reasonably necessary for such purposes and in accordance with Applicable Law, including the Digital Personal Data Protection Act, 2023 and the rules made thereunder.
By using the Platform, you give us consent to process the personal data you provide for the purposes stated in these Terms and the Privacy Policy. Consent may be obtained through account creation, checkbox acceptance, settings selection, feature activation, document submission, call consent or any other legally valid method used by the Platform.
Where a separate consent is required for a particular feature, communication channel, nominee disclosure, verification method, call recording or third-party integration, that consent shall be in addition to, and not in place of, your general consent.
You may withdraw consent at any time by following the withdrawal process made available by us, but such withdrawal shall not affect processing already carried out before withdrawal, nor shall it affect retention required by law, contract, investigation, audit or legitimate business records preserved lawfully.
6.1User rights
Subject to Applicable Law, you may request correction, completion, updating or erasure of your personal data, and we shall process such request within a reasonable period and in accordance with law.
You may request a summary of your personal data and processing activities, subject to lawful exceptions and operational limitations permitted under Applicable Law.
We may require identity verification before acting on any request, including but not limited to correction, deletion, consent withdrawal, nominee update or grievance request.
6.2Data fiduciary obligations
We will use reasonable technical and organisational safeguards to protect personal data, including but not limited to access controls, role-based permissions, encryption, monitoring, logging, secure backups, incident response and vendor management measures.
We will endeavour to keep personal data accurate and up to date to the extent reasonably possible based on the information supplied by the User.
We will retain personal data only for as long as necessary for the stated purpose, compliance obligations, contractual needs, audit, dispute resolution, fraud investigation, statutory recordkeeping or other lawful requirements.
7. Nominee, Multiple Nominee and Asset-Level Disclosure Rules
Any nominee or emergency contact recorded on the Platform is for informational, support and communication purposes only unless a separate legally valid document or law requires a different treatment.
Where a User maps a nominee to a particular asset, information relating to that asset shall be disclosed only to that nominee, subject to the User’s consent, the nominated disclosure settings and Applicable Law.
Where an asset has multiple nominees mapped to it, information relating to that asset may be shared with all such nominees in equal measure or as otherwise expressly configured by the User in a legally valid manner, subject always to the Company’s technical feasibility and Applicable Law.
The User is solely responsible for ensuring that the correct nominee, allocation, relationship, contact details and disclosure permissions are entered for each asset.
We are not responsible for any dispute, confusion, claim, loss or consequence arising from an incorrect, incomplete, outdated, disputed or unlawful nominee designation supplied by the User.
7.1Nominee Statements and Reports
A nominee statement or report may contain asset information and allocation information relevant to the recipient. The format and contents of such statements may vary from time to time. Any statement or report is provided for information and support purposes and does not by itself create, confirm or transfer ownership, title, succession, inheritance or other legal rights in any asset.
The Company may generate Vault statements, summaries, reports or other records for a nominee or other authorised recipient where such information is permitted to be disclosed under the User’s recorded instructions, nominee mapping, applicable settings, these Terms, the Privacy Policy and Applicable Law.
8. Accuracy of User Data, Asset Ownership and Government Database Disclaimer
All data you enter is presumed to have been supplied by you voluntarily and under your responsibility. We may rely on the data as submitted by you without independently verifying every entry.
We do not verify, certify or guarantee asset ownership, title, possession, insurance validity, investment validity, account control, nominee entitlement or family relationship unless a separate verification workflow expressly states otherwise.
We may, where permitted by law and by your consent, cross-check or enrich data using government databases, public records or third-party sources. However, we do not guarantee the completeness, accuracy, timeliness or availability of any such external data and we are not responsible for delays, errors, mismatches or omissions in such sources.
Any mismatch between user-entered data and any third-party or government record shall be resolved through the relevant external authority and not presumed to be a fault of the Platform.
9. Communication Consent, Call Recording and Notification Risk
By using the Platform, you consent to receive communications from us through WhatsApp, SMS, email, telephone calls, automated calls, in-app notifications, push alerts and other channels as selected by you or as reasonably necessary for service delivery, including but not limited to onboarding, verification, reminders, security alerts, updates, support and dispute-related communications.
You expressly consent to the recording, storage and review of phone calls, voice calls, video calls and support interactions for quality, training, verification, compliance, fraud investigation and dispute resolution.
You acknowledge and agree that notifications may be sent according to your saved settings, nominee mapping and contact preferences. We shall not be liable for any consequence resulting from notifications, reminders, alerts or disclosures sent in accordance with those settings, except to the extent caused by our wilful misconduct or where liability cannot be excluded by law.
You are responsible for keeping your communication preferences, device settings and contact details updated. We are not responsible for missed, delayed, blocked, filtered, misdirected or undelivered communications caused by network issues, carrier issues, spam filters, user settings, device settings or third-party service failures.
9.1Wellness Check-Ins and Non-Response
The Company may send scheduled wellness check-ins to Users through WhatsApp, SMS, email, telephone calls, in-app notifications or other supported channels, according to the wellness schedule applicable to the User’s account and the User’s selected communication preferences.
A wellness check-in may remain open for a defined response period communicated through the applicable service workflow. If the User does not respond within the applicable response period, the Company may initiate the relevant follow-up process.
Non-response to a wellness check-in shall not, by itself, be treated as evidence of death, incapacity or any other adverse event. Follow-up may include attempts to contact the User, the Master Nominee, other nominee(s) or emergency contact(s), subject to the User’s consent, account settings, Applicable Law and the Company’s then-current operational procedures.
If we learn that data of a child or minor was collected without required consent or legal basis, we may restrict processing, seek guardian confirmation, delete the data or take any other appropriate step permitted by law.
By submitting minor-related information, you confirm that you are the lawful parent, guardian or authorised representative, or that you otherwise have valid authority under Applicable Law.
11. Data Retention, Correction, Deletion and Non-Payment
We retain data only as long as reasonably necessary for the purposes for which it was collected, for legal compliance, fraud investigation, audit, tax, accounting, dispute resolution, service history and enforcement of these Terms.
In case of non-payment, payment default, unresolved dues, collections activity, dispute, chargeback, fraud concern or account recovery, relevant records may be retained for up to 10 years or longer where required by law or legitimate preservation needs.
You may request correction or deletion of your data through the designated process. Deletion requests may be declined or partially fulfilled where retention is required by law, contract, legitimate dispute preservation, fraud investigation or audit obligations.
Corrected or deleted data may remain in secure backups, logs, archives or legal repositories for a limited period until overwritten or purged in the ordinary course of operations, subject to Applicable Law.
12. Cross-Border Transfers, Hosting and Cloud Providers
Your data may be stored, processed or backed up on servers, networks or systems located in India or outside India, subject to Applicable Law and the safeguards adopted by us.
We currently use AWS and may use other cloud, messaging, analytics, support or infrastructure providers from time to time. Such providers act as independent vendors or data processors, as applicable, and are subject to their own service terms, security controls and operational limitations.
You acknowledge that cloud services are subject to service interruptions, maintenance windows, regional outages and vendor constraints. We shall not be liable for third-party cloud failures except to the extent caused by our wilful misconduct or where liability cannot be excluded by law.
Any cross-border transfer shall be subject to applicable legal restrictions, safeguards, contractual protections and operational necessity.
13. Artificial Intelligence and Automated Processing
We may use artificial intelligence, machine learning, automation or rule-based systems, including but not limited to classification, summarisation, support drafting, risk flags, document handling, fraud screening, recommendation or workflow routing.
AI-assisted outputs may be imperfect, incomplete, biased or contextually inaccurate. They are provided as operational aids and not as final legal, financial, medical, succession or tax decisions.
We may use human review, manual checks or additional verification at our discretion. You should not rely solely on an AI-assisted output where accuracy is important.
14. No Fiduciary Relationship, No Agency and No Partnership
Nothing in these Terms creates a fiduciary relationship, trustee-beneficiary relationship, agency, partnership, employment, franchise or joint venture between you and the Company.
The Company acts as a service provider and platform operator only. Unless explicitly stated in a separate signed document, the Company does not hold itself out as your nominee, legal representative, guardian, attorney, trustee or successor.
Any support, guidance or communication provided by the Company shall not be construed as an undertaking to act in a fiduciary capacity on your behalf.
15. Permitted Use and Prohibited Use
You may use the Platform only for lawful personal, family or authorised business purposes.
You shall not, directly or indirectly, including but not limited to, misuse the Platform, upload false data, impersonate any person, harass any person, reverse engineer the system, scrape data, interfere with security, attempt unauthorised access, upload malware, violate privacy, or use the Platform for fraud, money laundering, unlawful advertising or any other unlawful purpose.
We may investigate suspected misuse and may preserve logs, metadata, call recordings, access records and transaction records for such investigation.
16. Fraud Investigation, Right to Refuse Service and Suspension
We reserve the right to verify identity, request additional documents, freeze features, suspend accounts, restrict access, refuse service, delay activation or terminate access at any time if we reasonably suspect fraud, unlawful activity, misrepresentation, security risk, abuse, duplicate accounts, sanction concerns or non-compliance with these Terms or Applicable Law.
We may refuse or discontinue service without assigning reasons where permitted by law, especially where continued service may create legal, operational, security, reputational or fraud risk.
Any refusal, restriction or suspension may occur before or after service initiation and may continue until the risk is resolved to our satisfaction.
17. Charges, Billing and Non-Payment
Some features may be free and others may require a paid subscription, onboarding fee, processing fee, service fee or other charge as displayed on the Platform or otherwise communicated to you.
All taxes, statutory levies, payment gateway charges and third-party charges shall be borne by you unless expressly stated otherwise.
Unless expressly stated otherwise, fees once paid are non-refundable, non-transferable and non-adjustable, except where required by Applicable Law or a separate written refund policy.
Failure to pay amounts due may result in suspension, restriction, termination, recovery action, retention of records and other lawful steps.
17.1Subscription Status, Expiry and Restricted Access
Upon expiry of a fixed-term subscription, access to certain paid features may be restricted. Subject to the applicable plan and Company policies, previously recorded Vault information may remain available in a read-only or otherwise restricted form, and the User may be permitted to renew or reactivate eligible Services. Expiry of a subscription does not by itself constitute a deletion request or require immediate deletion of the User’s stored information, which remains subject to the Privacy Policy, applicable retention requirements and these Terms.
Subscription status may include, as applicable, no active subscription, an active subscription, an expired subscription or a lifetime subscription. The features and access available to a User may depend on the applicable subscription plan and its current status.
17.2Plan Upgrades and Prorated Charges
Where plan upgrades are offered, the Company may calculate the amount payable by taking into account the applicable pricing of the new plan and, where applicable, the unused value of the User’s existing active subscription. The applicable upgrade amount, billing treatment and any proration will be determined according to the pricing and billing rules displayed or otherwise communicated by the Company at the time of upgrade.
18. Intellectual Property Protection
All software, source code, object code, databases, workflows, interfaces, designs, graphics, text, compilations, trademarks, logos, content, algorithms, models, prompts, templates and know-how used in the Platform are owned by or licensed to the Company and are protected by Applicable Law.
You receive a limited, revocable, non-exclusive, non-transferable licence to use the Platform solely for lawful purposes and in accordance with these Terms.
You may not copy, reproduce, sell, resell, sublicense, modify, adapt, translate, publish, distribute, create derivative works from, reverse engineer or commercially exploit any part of the Platform without our prior written consent.
19. Third-Party Services, Government Databases and External Dependencies
The Platform may integrate with or link to third-party services, including but not limited to payment providers, messaging providers, cloud providers, identity providers, analytics providers, document services and support tools.
We do not control third-party policies, availability, accuracy, retention, security or response times and we are not liable for their acts, omissions or failures except where required by law.
Any reference to a government portal, government record, regulated institution or external database is for convenience only and does not mean that the Company is endorsed by, affiliated with or acting on behalf of that entity.
20. Privacy Policy as Integral Part
The Privacy Policy forms an integral and inseparable part of these Terms.
By using the Platform, you agree to be bound by both these Terms and the Privacy Policy, read together as one contract.
If there is any conflict between these Terms and the Privacy Policy on privacy-specific matters, the Privacy Policy shall prevail to the extent of that conflict; for all other matters, these Terms shall prevail.
21. Security, Backups and Availability
We use commercially reasonable safeguards, but no online system is completely secure, error-free or immune to downtime, cyber incidents, data loss, message loss or service disruption.
We do not guarantee uninterrupted access, complete restoration, message delivery, perpetual data availability, error-free operation or that the Services will always meet every User expectation.
You should keep your own independent records of important documents, passwords, policy numbers, account numbers, nominee details, legal documents and other critical information.
22. Electronic Consent, Records and Evidence
Electronic acceptance, OTP verification, click-wrap consent, digital signatures, logs, timestamps, device identifiers, communication records, screenshots, call recordings, server logs and audit trails may be used by us as evidence of consent, communication, access, transaction or instruction.
You agree that such electronic records are admissible to the fullest extent permitted by Applicable Law and may be relied upon in disputes, investigations or proceedings.
You must not dispute the authenticity of your own digital acceptance, OTP use or recorded interaction unless you can show clear evidence of unauthorised use or technical compromise.
23. Indemnity
You agree to indemnify, defend and hold harmless the Company, its affiliates, directors, officers, employees, agents, consultants, licensors and service providers from and against any and all claims, demands, losses, liabilities, damages, penalties, fines, costs and expenses, including but not limited to reasonable legal fees, arising out of or relating to your use of the Platform, your breach of these Terms, your violation of law, your infringement of third-party rights, your incorrect or unlawful data entry, your nominee selections, your communications settings, your uploaded content or your misuse of the Services.
This indemnity applies even if the claim is brought by a nominee, family member, government authority, financial institution, insurer, cloud provider or other third party based on information supplied or authorised by you.
24. Limitation of Liability
To the maximum extent permitted by Applicable Law, the Company shall not be liable for indirect, incidental, special, consequential, punitive or exemplary damages, loss of profits, loss of data, loss of goodwill, loss of opportunity, loss of reputation or business interruption arising out of or relating to the Platform or Services.
Our total aggregate liability for any claim arising out of or relating to the Platform or Services shall not exceed the amount paid by you to the Company for the specific Service giving rise to the claim during the three months immediately preceding the event, or such other amount as may be required by law.
We are not responsible for the acts or omissions of users, nominees, emergency contacts, banks, insurers, service providers, cloud vendors, government authorities or third parties.
25. Death Verification and Legacy Access Procedure
25.1The Company may introduce, modify, suspend or replace its death verification, incapacity verification, nominee access and legacy access procedures from time to time, including to improve safety, compliance, fraud prevention, operational accuracy and alignment with Applicable Law. The procedure described below is the Company's current operational framework and may be revised, expanded or supplemented by additional requirements, including but not limited to documentary proof, identity verification, internal review and third-party or governmental records.
25.2Wellness Alerts. The Company may send periodic wellness alerts, check-ins or similar notifications to the User at intervals and through channels determined by the Company and/or selected by the User. If the User misses two (2) consecutive wellness alerts, such non-response shall not by itself be treated as evidence of death, incapacity or any other adverse event.
25.3Final Follow-Up Alert. After two (2) consecutive missed wellness alerts, the Company may send one final follow-up alert after a period of approximately ten (10) days, or such other period as may reasonably be required by the Company's then-current operational or risk procedures.
25.4Call Attempts. If there is still no response, the Company may attempt to contact the User directly using the contact details available in the User's account. The Company will ordinarily make at least two (2) to three (3) call attempts at different times and/or on different occasions before moving to nominee outreach, subject to the availability and accuracy of the contact information, technical limitations, Applicable Law, and other operational circumstances.
25.5Nominee Outreach. If the User remains unreachable, the Company may contact the Master Nominee first. If the Master Nominee does not respond, the Company may contact the other nominee(s), individually and/or sequentially, using the contact details provided by the User.
25.6Death Information Received - Verification Trigger. If any nominee or other person authorised or contacted under the User's account reports that the User may be deceased, such report shall be treated as an important verification trigger and not, by itself, as final or conclusive proof of death. The Company may request reasonable supporting confirmation, including but not limited to a death certificate, hospital or medical record, cremation or burial receipt, police record, municipal record, government record, or any other reliable supporting document or evidence available to the Company.
25.7Verification Stage. The Company may, where reasonably practicable, seek confirmation from all available nominees and cross-check the information against supporting evidence available to it. Until the Company has sufficient and reasonably reliable confirmation, the User's status may remain recorded as "Death Under Verification" or an equivalent internal status. The Company may request additional information or documents where the evidence is incomplete, inconsistent, contradictory or reasonably suspected to be unreliable.
25.8Final Confirmation. Once the Company reasonably determines, acting in accordance with its then-current procedures and Applicable Law, that the available information and supporting evidence are sufficient to verify the User's death, the Company may mark the User as deceased in its systems and commence the applicable nominee assistance, claim assistance and/or other post-verification process.
25.9Nominee Statements and Supporting Evidence. Final confirmation may be based on nominee statements together with reasonable supporting evidence available to the Company. The Company is not a statutory authority for certifying death and does not issue, replace or independently certify any death certificate, governmental record or other legally authoritative death record.
25.10No Automatic Access During Verification. Until the applicable verification process is completed, no nominee, family member, legal representative or other person shall be entitled to access the User's confidential account information, asset information or other protected data merely by claiming nomination, relationship or knowledge of the User. Any disclosure or access shall remain subject to these Terms, the Privacy Policy, Applicable Law, identity verification and the Company's internal access controls.
25.11Operational Discretion and Future Procedure. The Company may adopt a more detailed or different death verification procedure in the future, including additional call attempts, documentary requirements, digital verification, third-party verification, government or institutional checks, or other safeguards. Any such updated procedure may be incorporated into the Platform, operational policies, or these Terms and shall apply from the effective date communicated by the Company.
26. Grievance Officer and Complaint Handling
We shall appoint a grievance officer or designated grievance contact in India and display the contact details on the Platform as required by Applicable Law and internal policy.
You may submit grievances, complaints, correction requests, deletion requests, consent withdrawal requests or misuse reports through the published support channels.
We will endeavour to acknowledge and respond within a reasonable period and, where applicable, within the period prescribed under Applicable Law or our internal escalation framework.
27. Force Majeure
We shall not be liable for delay, failure, suspension or interruption caused by events beyond our reasonable control, including but not limited to natural disasters, fire, flood, epidemic, war, terrorism, civil unrest, government action, internet failure, cloud outages, telecommunication failures, labour disputes or power failures.
28. Changes to These Terms
We may update, modify or replace these Terms at any time by posting an updated version on the Platform with a revised effective date.
Your continued use of the Platform after the updated Terms become effective shall constitute acceptance of those updated Terms, unless law requires a different form of consent.
If a change is material, we may notify you through email, SMS, WhatsApp, in-app notice or another reasonable method.
29. Governing Law, Arbitration and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India.
Any dispute, controversy or claim arising out of or relating to these Terms, the Privacy Policy or the Services shall first be attempted to be resolved amicably through good-faith discussions within a reasonable period.
If the dispute is not resolved amicably, it shall be referred to arbitration under the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted by a sole arbitrator appointed mutually by the parties. The seat and venue of arbitration shall be Ratlam, Madhya Pradesh. The language of arbitration shall be English.
Notwithstanding the above, we may seek interim, injunctive, equitable, protective or emergency relief from any court of competent jurisdiction. Subject to the arbitration clause and Applicable Law, the courts at [Final court jurisdiction to be confirmed and inserted before publication] shall have exclusive jurisdiction.
30. Miscellaneous
If any provision of these Terms is held invalid, unlawful or unenforceable, the remaining provisions shall continue in full force and effect.
No failure or delay by us in enforcing a right shall operate as a waiver of that right.
These Terms together with the Privacy Policy and any service-specific policies form the entire agreement between you and the Company regarding the Platform and Services.
The headings in these Terms are for convenience only and do not affect interpretation.
